Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of services provided by West India Company Pvt. Ltd. ("we", "us", "our"). By engaging with our services, using our website, or entering into contracts with us, you agree to be bound by these Terms.

2. Services

We provide trading, procurement, logistics and related services for agricultural, industrial and other commodities. Specific service terms, pricing, delivery and payment conditions are set out in separate contracts, purchase orders or shipment confirmations entered into between the parties.

3. Quotations & Orders

All quotations are valid for the period stated in the quote. Orders are accepted subject to confirmation. We reserve the right to decline or cancel orders due to availability, regulatory restrictions, or material error.

4. Pricing & Payment

• Prices are exclusive of applicable taxes, duties, levies and freight unless expressly stated.
• Payments must be made as per the agreed payment terms in the contract or invoice. Late payments may attract interest.
• We reserve the right to require advance payment, deposits or appropriate security for new customers or large transactions.

5. Delivery & Title

Delivery terms (INCOTERMS or equivalent) are specified in the contract. Title to goods passes as specified in the parties' agreement. Risk of loss passes at the agreed point of delivery.

6. Inspection, Claims & Returns

Buyers must inspect goods promptly on delivery. All claims for shortages, damage or defects must be notified in writing within the timeframe set out in the contract. Unless otherwise agreed, perishable goods must be rejected at delivery if they do not meet the agreed specification.

7. Warranties & Liability

We warrant that goods supplied will conform to the specifications agreed in writing. Except as expressly stated, all other warranties are excluded. Our liability for direct losses arising from negligence is limited to the value of the specific transaction. We are not liable for indirect, consequential, or lost profit damages.

8. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (including natural disasters, strikes, pandemics, transport disruption, regulatory intervention or acts of government). In such cases, performance timelines will be extended and parties will cooperate to minimise impact.

9. Compliance

All parties must comply with applicable laws, export/import regulations, customs rules and sanctions regimes. Customers shall not provide goods for unlawful use or resell to prohibited parties.

10. Confidentiality

Each party shall keep confidential any commercially sensitive information received from the other and shall not disclose it except to employees, advisers or contractors who need to know for performance and who are bound by confidentiality obligations.

11. Data & Privacy

We process personal data in accordance with our Privacy & Cookies Policy available at privacy-policy.html.

12. Termination

Either party may terminate services in accordance with the contract. Termination shall not affect accrued rights or obligations, including payment for goods delivered or services rendered prior to termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Parties will seek to resolve disputes amicably and may refer disputes to arbitration or competent courts in Hyderabad, Telangana if necessary.

14. Amendments

We may update these Terms from time to time. Material changes will be communicated to customers by email or through our website.
